1. Platform Role
MeridianVest provides investment operations infrastructure and software. MeridianVest is not a broker-dealer, investment advisor, underwriter, or financial institution, and does not provide investment, legal, tax, or accounting advice. All investment decisions are made solely between investors and the relevant sponsors or issuers.
2. Eligibility
Access to certain offerings and materials may be limited to verified, accredited investors as defined under applicable securities laws. By using the platform you represent that the information you provide during onboarding, including accreditation and identity verification, is accurate and complete.
3. Acceptable Use
You agree to use the platform only for lawful purposes and in accordance with these Terms. You may not attempt to gain unauthorized access to any portion of the platform, interfere with its operation, or use it to distribute unlawful, misleading, or infringing content.
4. Documents and Communications
Documents, reports, and communications made available through the platform are provided for your convenience. While we strive for accuracy, MeridianVest does not warrant the completeness or accuracy of materials provided by sponsors or third parties. You are responsible for reviewing all materials and consulting your own advisors.
5. Confidentiality
Offering materials and investor communications are confidential. You agree not to reproduce, distribute, or disclose any non-public information obtained through the platform except as expressly permitted.
6. Limitation of Liability
To the maximum extent permitted by law, MeridianVest shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including any investment losses. The platform is provided on an "as is" and "as available" basis.
7. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the platform. Your continued use of the platform after changes become effective constitutes acceptance of the revised Terms.
