1. Platform Role
MeridianVest provides software for presenting private real estate opportunities and managing a controlled transaction process. MeridianVest is not a broker-dealer, investment adviser, underwriter, or financial institution, and does not provide investment, legal, tax, or accounting advice. All transaction decisions are made solely between the parties and the relevant sponsors or deal teams.
2. Access & Eligibility
Access to opportunities and materials is by invitation from the sponsor or deal team, and protected materials are released only after any required NDA is executed. By using the platform you represent that the information you provide is accurate and complete, and that you are authorized to act for the entity you represent.
3. Acceptable Use
You agree to use the platform only for lawful purposes and in accordance with these Terms. You may not attempt to gain unauthorized access to any portion of the platform, interfere with its operation, or use it to distribute unlawful, misleading, or infringing content.
4. Documents and Communications
Opportunity materials, documents, and communications made available through the platform are provided for your convenience. While we strive for accuracy, MeridianVest does not warrant the completeness or accuracy of materials provided by sponsors, deal teams, or third parties. You are responsible for reviewing all materials and consulting your own advisers.
5. Confidentiality
Offering materials and investor communications are confidential. You agree not to reproduce, distribute, or disclose any non-public information obtained through the platform except as expressly permitted.
6. Limitation of Liability
To the maximum extent permitted by law, MeridianVest shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including any losses arising from a transaction between the parties. The platform is provided on an "as is" and "as available" basis.
7. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the platform. Your continued use of the platform after changes become effective constitutes acceptance of the revised Terms.
